GENERAL RENTAL TERMS AND CONDITIONS

YOID — POWERBANK (APP / QR / POS)

 

Article 1 — Applicability and Contracting Party

1.1 These general rental terms and conditions apply to every rental transaction of a portable power bank ("Powerbank") via a YOID station, regardless of whether the rental is initiated via the YOID app, a QR code, a coupled POS terminal, or any other YOID-approved payment method.

1.2 By starting a rental (payment in the app, via QR code, via POS terminal, or other payment method), you conclude a legally valid rental agreement with:

Hereinafter: "YOID".

1.3 The physical location where the YOID station is placed (for example, café, hotel, shopping mall, railway station, airport, etc.) is not a contracting party to this rental agreement. YOID is the sole contracting party with respect to the rental and management of the Powerbank. Any questions, complaints, or claims relating to this rental agreement must be directed exclusively and directly to YOID.

1.4 These terms also apply if you initially rent the Powerbank at one location and return it to a different YOID station. The rental remains at all times a direct agreement between you and YOID.

Article 2 — Service, Tariffs and Payment Processing

2.1 Service

The YOID service consists of temporarily renting a Powerbank via a YOID station at various locations. YOID manages all aspects of the service, including availability of Stations, maintenance of Powerbanks, technical support, and customer care.

2.2 Standard Rates

Unless a different rate is explicitly displayed on the YOID app screen, the YOID station itself, or the POS terminal, the following standard rates apply:

· € 1.50 for the first 30 minutes of rental;

· € 2.00 per full 24-hour period thereafter (each commencement of a 24-hour period is counted as a full day).

2.3 Binding Rate Display

The rate displayed on the YOID app screen, the YOID station, or the POS terminal at the moment of commencement of the rental is binding for the total rental costs of that specific rental session. Rate changes apply only to rental sessions commencing after the change.

2.4 Pre-Authorization and Payment Limit

To cover rental, extension, late return, loss, and/or damage to the Powerbank, a pre-authorization and reservation of € 20.00 is placed on your payment card at the moment the rental begins.

This amount of € 20.00 constitutes the maximum total amount that YOID may charge for one rental session, unique Powerbank, and location combination in total (rental + extension + damage fee).

2.5 No Cash or Direct Payments

All rental payments are processed exclusively through the YOID platform (app, QR code, POS, payment token). The location where the Station is placed does not accept cash payments, direct card payments, or any other forms of direct payment to YOID for powerbank rental.

Article 3 — Rental Period and Return

3.1 Commencement of Rental

The rental begins at the moment your payment via app, QR code, POS terminal, or other YOID-approved payment method is successfully authorized by YOID and you have physically taken possession of the Powerbank from the Station.

3.2 Termination of Rental and Return

The rental ends at the moment you correctly and completely return the Powerbank to a YOID station and the YOID system has automatically registered and confirmed the return of this specific Powerbank (visible via display/app notification).

You may return the Powerbank at any available YOID station, unless otherwise indicated on the station itself or in the app.

3.3 Automatic Rental Calculation

The duration of the rental is automatically and lawfully determined by the YOID system based on:

· The moment of authorization and physical removal by the user;

· The moment of registered return and system confirmation.

This automatic registration is binding and accurate, unless demonstrable technical errors can be shown (see Article 7).

3.4 Automatic Extension

If you keep the Powerbank longer than the already-paid rental period, the rental is automatically extended according to the applicable daily rate as described in Article 2.2, until:

· You successfully return the Powerbank to a Station, or

· The maximum payment limit of € 20.00 per rental session is reached.

Upon reaching the limit of € 20.00, the Powerbank cannot be used further via the Station; you are then obligated to return it.

Article 4 — Late Return, Loss and Damage

4.1 Non-Return and Loss Determination

If you have not returned the Powerbank within five (5) calendar days after commencement of the rental or after expiry of the rental period (if shorter than 5 days) to a YOID station, and YOID cannot recover the Powerbank through reasonable attempts (app notifications, assisted tracking, location tracking data), the Powerbank is deemed not returned / lost.

4.2 Compensation for Loss

If a Powerbank is classified as lost (following application of Article 4.1), YOID may claim reasonable damage compensation from you to cover:

a. Replacement Value of the Device: YOID establishes a reasonable replacement price, typically in the range of € [bedrag] to € [bedrag] per Powerbank (depending on model and battery capacity), based on:

· Current purchase price from distributor/manufacturer;

· Average lifespan and expected wear and tear;

· Any previous damage to the device according to log data.

b. Administrative Costs: A fixed administrative fee of maximum € [bedrag] per unreturned Powerbank to cover processing, location tracking process, and administration.

c. No Double Billing: The total damage compensation for one lost Powerbank shall never exceed the amount YOID realistically recovers from its own insurer for loss (total contribution + deductible), plus a reasonable margin for uninsured costs.

4.3 Procedure and Transparency in Loss Determination

Before YOID classifies a Powerbank as lost and claims damage compensation, YOID will:

a. Send at least two written notices via e-mail or app to the user (first reminder after 3 days, second reminder after 7 days), requesting the user to return the Powerbank and providing contact details for emergencies.

b. Provide Tracking Information: Where technically possible, provide the user with insight into the last known location of the Powerbank via the app.

c. Investigate Payment Status: Check whether the user has already paid the maximum amount of € 20.00; if so, the device is already written off via pre-authorization.

d. Written Notice: If YOID formally concludes loss after 5 days, this shall be communicated to the user in writing with substantiation, with an opportunity for objection/explanation within 7 days.

4.4 Damage to Powerbanks

4.4.1 Categorization of Damage

Damage to a Powerbank may be classified into the following categories:

a) Normal Wear and Tear (No Compensation)

· Light surface scratches, tiny dents, normal wear from regular use.

· No impact on functionality or safety.

· YOID charges no compensation.

b) Light Damage (Compensation up to € [bedrag])

· Visible but non-functional damage: dents, damaged corners, slight warping of housing.

· The device still functions completely.

· Repair/repainting costs no more than approx. € [bedrag].

· YOID may claim compensation of maximum € [bedrag].

c) Moderate Damage (Compensation up to € [bedrag])

· Cracks in housing, broken parts, damaged USB port that can be repaired but not replaced.

· Device still functional, but safety or aesthetics compromised.

· Estimated repair costs € [bedrag] to € [bedrag].

· YOID may claim compensation of maximum € [bedrag].

d) Severe Damage (Compensation up to € [bedrag])

Visibly serious damage that makes repair economically uneconomical, such as:

· Deep cracks, open or gaping housing;

· Signs of forcible opening, manipulation, or unauthorized access attempt;

· Heavy water or moisture damage with visible corrosion;

· Clear signs of battery swelling, battery leak, or thermal damage;

· Burned or sintered electronic components visible;

· Total physical destruction or destruction.

For severe damage, YOID may claim replacement compensation of maximum € [bedrag] (subject to maximum pre-authorization limit).

4.4.2 Proof and Assessment of Damage

· Assessment of damage is made via internal diagnosis, automatic system logs, GPS tracking data, and photographic documentation by YOID.

· YOID reserves the right to retain damaged material for investigation by technical specialists and, if necessary, independent experts.

· Upon reasonable request, YOID shall provide the user with a brief, reasoned written explanation explaining the categorization of damage and the calculated compensation.

4.4.3 Exclusion from Compensation

YOID charges no compensation for:

· Damage resulting from hidden manufacturing defects or design flaws of the device itself (YOID liability);

· Damage resulting from normal wear and tear;

· Damage caused by external forces beyond the reasonable control of the user (e.g., natural disaster, theft by third parties outside user's fault);

· Damage that cannot demonstrably be linked to the specific rental session/user.

4.5 Maximum Damage Compensation Per Session

The total compensation for one rental session (rental + damage) shall under no circumstances exceed the pre-authorization amount of € 20.00 per session. This is a binding limit.

4.6 Billing and Payment of Damage Compensation

Damage compensation is automatically offset against the pre-authorization via the payment provider. Remaining amounts are released back by the card issuer in accordance with banking procedures.

Other claims exceeding the pre-authorization amount (e.g., for demonstrable criminal acts or intentional destruction) may be billed to the user in writing and may be enforced in accordance with Article 11 (dispute resolution).

Article 5 — Safe Use, Warnings and Age

5.1 Safe Use Obligations

It is explicitly forbidden to:

a. open, disassemble, modify, or adjust the Powerbank internally;

b. throw the Powerbank in fire, heat strongly (above 60°C), pierce, strike, or use other physical violence against it;

c. use or store the Powerbank under pillows, blankets, in bed, in strollers, or other places with heat accumulation;

d. expose the Powerbank to water, heavy rain, water or seawater spraying, or conditions that may cause short circuits or serious corrosion;

e. use compatible power cables or adapters of unknown quality or non-certified third parties without YOID approval.

5.2 Warning of Abnormal Behavior

If you notice abnormal behavior of the Powerbank, such as:

· Excessive heat without heavy load;

· Smoke development or strong (chemical) odor;

· Visible deformation, swelling, or expansion of the housing;

· Burning smell or sparking;

· Sudden failure or unexpected power surge;

you must immediately:

a. Stop using the Powerbank and do not use it again;

b. Return the Powerbank to the nearest YOID station if safely possible and report it;

c. Inform YOID immediately via the telephone number, app, or email details in Article 10, so YOID can investigate the defect and prevent dangerous situations.

Failure to act in case of abnormal behavior can be dangerous for you and others.

5.3 Age and Parental Responsibility

This service is intended for users aged 12 and older.

Parents, guardians, and legal representatives are fully responsible for supervising and ensuring proper use of the Powerbank by minors. YOID assumes no liability for misuse or unsafe use by minors if the adult has not exercised reasonable supervision.

5.4 No User Modification and Maintenance

Maintenance, repair, battery replacement, and technical servicing of Powerbanks is exclusively reserved for YOID. Users may not perform any maintenance, cleaning, or repair work unless YOID has explicitly provided written instructions to do so.

Article 6 — Payment, Pre-Authorization and Collection

6.1 Payment Authorization and Consent

By starting a rental and submitting payment via app, QR code, POS terminal, or other YOID platform, you grant YOID and the payment provider explicit permission to:

a. Place a pre-authorization and reservation of € 20.00 on your payment card at the moment the rental begins;

b. Within this limit of € 20.00 collect the actual rental fee, any extension, and the damage/loss compensation fees specified in these terms.

6.2 Payment Limit — Absolute Cap

The total sum of all amounts YOID charges for one unique rental session (all costs combined: rental + extension + damage) shall never exceed € 20.00.

Once this amount is reached, the Powerbank cannot be used further and must immediately be returned.

6.3 Collection and Release of Pre-Authorization

After completion of the rental session and automatic calculation of all costs by the YOID system:

a. The actual amount owed (rental + extension + any damage compensation) is collected via the payment provider;

b. The remaining portion of the € 20.00 pre-authorization is released by the issuing bank. The speed of release depends on the internal procedures of the cardholder's bank, usually 3-5 business days;

c. YOID has no control over the speed of release by the bank.

 

Article 7 — Errors, Refunds and Payment Disputes

7.1 Notification of Payment Errors

If you believe that an amount has been incorrectly, duplicated, or excessively charged, for example:

· Double collection (the same amount twice);

· No Powerbank issued despite successful payment;

· Charging of amounts outside the bare rental rate/fee;

· Charging despite provably correct return of the Powerbank;

· Other payment deviations;

you must first contact YOID customer service via the contact channels mentioned in Article 10. Provide:

· Transaction ID (as stated on the receipt, in the app, or on the screen);

· Date/time of transaction;

· Description of the problem;

· Amount that you believe has been incorrectly charged.

7.2 Investigation and Refund Period

YOID will investigate your report and:

a. If the report is found justified, YOID will refund the overcharged amount within three (3) business days to your account or card, unless a different reasonable timeframe is necessary and is explicitly communicated to you.

b. If investigation takes longer than 3 business days, YOID will communicate progress in writing (via app/email).

7.3 Chargeback and Dispute Protocol

ATTENTION: If you file a chargeback, dispute, or contest with your bank without prior contact with YOID, YOID may:

a. Block your user account in the YOID system (deactivation of app/platform access);

b. Temporarily or permanently blacklist your used payment card in the YOID payment system, pending investigation for fraud or misuse;

c. This may prevent further rental transactions with this card.

We therefore request that you attempt to resolve problems directly with YOID before filing a bank chargeback. This avoids unnecessary service interruptions.

Article 8 — Liability and Limitation of Damages

8.1 Duty of Care by YOID

YOID makes efforts to maintain Stations and Powerbanks at a safe, reliable, and functional level. However, YOID cannot guarantee that the service is at all times completely free of technical failures, interruptions, or environmental factors beyond YOID's reasonable control.

8.2 Exclusion of Liability of YOID

YOID is not liable for:

a. Indirect damage, consequential damage, or lost profits: Damage resulting from loss of data, missed appointments, emotional distress, lost income, or other indirect consequences;

b. Damage from Misuse: Damage resulting from use of the Powerbank in violation of these terms, disregard of safety warnings, or unsafe use practices;

c. Damage to User Property: Damage to phones, tablets, other devices, or goods of the user, unless such damage is caused by a manufacturing defect or inherent fault of the Powerbank itself (and not by misuse);

d. Damage by Third Parties: Damage caused by theft by unauthorized third parties, vandalism outside YOID's fault, or crimes by third parties;

e. Damage from Environmental Factors: Damage resulting from extreme weather, flooding, seawater spraying, extreme temperatures, or other forces beyond reasonable control.

8.3 Limitation of Liability of YOID

The total liability of YOID to you for all claims arising from or relating to a rental session is limited to:

The lower of:

· The total amount you actually paid for the respective rental session (including rental, extension, damage/loss compensation), or

· € 50,- (fifty euros).

This does not apply to:

· Liability for intentional acts or gross negligence of YOID;

· Damage resulting from death or bodily injury of consumers;

· Damage resulting from a latent product defect.

8.4 Exemption of Consumer Warranty Guarantees

Nothing in these terms excludes or limits liability to the extent such exclusion or limitation is not permitted by law. This applies in particular to:

· Mandatory product warranties under Dutch consumer law;

· Product safety requirements under EU Directives;

· Rights of consumers under the GDPR;

· Essential performance under this agreement.

Article 9 — Data Processing and Privacy

9.1 Data Processing and Processing Controller

To execute payment and the rental transaction, YOID (as a data controller under the GDPR) processes the following personal data:

· Transaction amount, currency, date, and precise time;

· Partially masked card details or payment token (YOID never receives full card details);

· Transaction and reference number (RRN);

· Unique ID of the Powerbank and the YOID station;

· IP address and technical logs (rental start/end time, GPS location);

· Device fingerprinting units (device fingerprinting) for fraud detection.

9.2 Payment Provider Responsibility

Full payment card details are processed and stored exclusively by certified payment providers engaged by YOID (in accordance with PCI-DSS standards). YOID receives only a secured token and limited transaction data essential for performance of the rental agreement.

9.3 Retention Periods

YOID retains:

· Transaction Data: Until 7 years (in accordance with Dutch accounting and tax requirements);

· Technical Logs: Until 90 days (for troubleshooting and fraud detection);

· Anonymous Analytics: Until 36 months (for service improvement).

Full payment card details are not stored by YOID.

9.4 Privacy Statement and GDPR Rights

Detailed information about:

· How YOID handles personal data;

· Retention periods for various data categories;

· Your rights under the General Data Protection Regulation (GDPR) — including right to access, rectification, deletion, and data portability;

By using the service, you explicitly consent to the processing of your data as described in the Privacy Statement.

9.5 No Personal Data Shared with Locations

The location where the YOID station is placed does not receive personal data of users (no name, address details, payment details, etc.). Locations receive only anonymized, aggregated reporting on the use and revenue figures of the station.

 

Article 10 — Customer Service, Contact Details and Emergency Reporting

10.1 Regular Customer Service

For questions, technical issues, complaints, or reports about a rental, payment, Powerbank defect, or damage, you may contact YOID via:

10.2 Emergency Reporting and Casualties

In case of immediate danger (fire, smoke, explosion hazard, battery leakage):

a. Interrupt power supply to the STATION (via outlet or circuit breaker);

b. Take the STATION out of service and do not touch;

c. Call emergency services (112) if there is risk to human life;

d. Inform YOID immediately via emergency contact details (see separate Annex with Emergency Contact Numbers).

10.3 Information to Provide Upon Contact

Always provide when contacting:

· The Transaction ID (as stated on the electronic receipt, in the app, or on the Station screen);

· If possible: Station ID and location address;

· Date and Time of the transaction/incident;

· Clear Description of the problem;

This will significantly speed up processing of your request.

Article 11 — Governing Law and Dispute Resolution

11.1 Dutch Law

These general terms and conditions are governed exclusively by Dutch law, regardless of your place of residence outside the Netherlands.

11.2 Amicable Settlement (First Step)

The PARTIES undertake to resolve disputes in first instance by mutual agreement. This promotes quick, cost-effective resolution of disagreements.

11.3 Mediation (Second Step)

Should amicable settlement not result in agreement, the PARTIES shall make efforts to resolve the dispute through mediation with a mediator accepted by both parties. Mediation can significantly save costs and time compared to court proceedings.

11.4 Court Proceedings (Third Step)

If mediation does not result in resolution, the dispute is submitted to the competent court in accordance with:

a. For consumers: the court in the district of your place of residence, unless mandatory law provides otherwise;

b. For other users: the court in the Rotterdam district (where YOID is statutorily established).

Article 12 — Acceptance and Entry into Force

12.1 Acceptance of Terms

By starting a rental and completing payment via app, QR code, POS terminal, or other YOID platform:

a. You declare that you have read these general rental terms, or have been able to reasonably access them;

b. You agree with the terms described in these terms:

· Rates and rental conditions;

· Pre-authorization up to € 20.00;

· Loss and damage compensation fees;

· Limitation of liability;

· Application of Dutch law.

c. You confirm that you are at least 12 years old.

12.2 Language

These terms are available in Dutch and English. In case of discrepancies, the Dutch version is authoritative.

12.3 Changes and Amendments

YOID reserves the right to unilaterally modify these terms upon:

· Changes in applicable laws and regulations (e.g., consumer protection, payment directives, GDPR);

· Changes in technical standards and practices in the rental industry;

· Changes in business operations and risk management.

Changes are announced via:

· In-app notifications (minimum 30 days in advance);

· Email communication to known addresses;

· Updates on the YOID website.

Your continued use of the service after the effective date of changes is deemed acceptance.

Article 13 — Final Provisions

13.1 Completeness

These general rental terms, together with the payment method you have accepted and any additional instructions in the app, constitute the entire agreement between you and YOID regarding the rental of Powerbanks. All prior oral agreements and correspondence are hereby superseded.

13.2 Invalidity of Provisions

If any provision of these terms is invalid or unenforceable, all other provisions remain fully in effect. The PARTIES will consult in good faith to establish a replacement provision that aligns as closely as possible with the purpose and intent of the original provision.

13.3 No Waiver of Rights

The fact that YOID does not immediately exercise or enforce a particular right does not mean that YOID has waived or relinquished that right.

13.4 Electronic Evidence

Electronic records of rental transactions, log data, and app notifications are complete evidence and serve as primary documentation, unless you demonstrate that these are technically inaccurate.

13.5 No Third-Party Benefit

These terms apply to the direct relationship between you (user) and YOID. The location where the station is placed is not a contracting party and does not benefit from these terms.
